Proposed Changes to ByLaws (changes in bold italic)

THE BYLAWS OF THE JACKSON COUNTY REPUBLICAN COMMITTEE AS AMENDED AND ADOPTED ON – (Potential to be adopted by 2/3rds majority vote, if and whenever brought to the floor of an official committee meeting in the future.)

Update : 6/15/2023 Too late for notice in June meeting.


The purpose of the Jackson County Republican Committee is to foster loyalty to the Republican Party, to promote its principles, and to recruit, assist, and elect Republican candidates, as a joint body politic.


Article I – Membership

Section 1.

Members of the Jackson County Republican Committee are the committeemen and committeewomen elected or appointed by this body, pursuant to law. Prior to election, each member must have been both a registered voter and resident of the county and the committee district for at least one year. A member shall not be a committee member of any other political party or an existing elected or appointed State office holder.


a.) Every existing and duly elected or appointed Committee member may have up to two auxiliary members, approved by a majority vote of a quorum of Committee members present in any meeting where the auxiliary candidate is introduced, and may be sworn into the Committee by the same oath as required by every other committee member.

b.) Auxiliary Committee Members once approved and elected by the Committee may enjoy all the privileges of committee members, but may only vote on any issue in the absence of the particular committee member to whom assigned, and only one auxiliary member may vote for the assigned committee member in any meeting where the Committee member is absent so as only to allow one vote per committee member, and no other proxy vote is accepted when an auxiliary member for any committee member is present in the absence of the Committeeman or Committeewoman, who is being represented by their own duly appointed and sworn in auxiliary member.


Section 2.

A committeeman or committeewoman who has been elected by write-in ballot shall not be certified to hold office until the electee has paid to the Committee an amount equal to the filing fee required of candidates for the position of committeeman or committeewoman.

The County Committee Secretary holding office prior to the organizational meeting shall make all reasonable efforts to notify the person identified by the election authority as having received the most votes, of the date, time, and place of the organizational meeting and of the financial obligation.


Section 3.

Whenever a member of the County Committee dies, is appointed or elected to State office, becomes disabled, resigns, or ceases to be a registered voter of the county or a resident of the committee district from which the member is elected, a vacancy shall exist on the County Committee. A majority of the County Committee shall elect another person who, for at least one year prior to the election, has been a registered voter of and resident of the county and the committee district to fill the vacancy.


Section 4.

The resignation of a member will be effective when received or verified by the Chairman or the Secretary. Any person appointed or elected to State office is considered to have resigned from any position of membership in this Committee, and may not preside as an officer.


Section 5.

Each member is responsible for the activity of the Republican Party within Jackson County and their district. Members are expected to:

  1. Attend meetings of the County Committee on a regular basis;
  2. Support candidates of the Republican Party;
  3. Support the activities of the County Committee;
  4. Pay $25.00 filing fee before being seated;
  5. Attend Lincoln Days events held in Jackson County on a regular basis as a volunteer or a paying participant.


Article II – Officers and Subcommittees


Section 1

The officers of the County Committee shall be a Chairman, Vice Chairman, Secretary, and Treasurer. They shall be elected according to the laws of the State (Section 115.615, R.S.Mo.). They shall be elected for a two year term at the organizational meeting on the third Tuesday in August immediately following the primary election.


Section 2.

The Chairman shall preside at all meetings of the County Committee, and ensure that every member is respected and honored for equal voice in all affairs of the Committee. If the Chairman is absent, the Vice Chairman shall preside. The Chairman should annually present a plan of programs and priorities in writing to the County Committee at the first regular meeting of each calendar year.


The Chairman shall appoint Standing Subcommittees and may appoint Special Subcommittees to perform specific duties. The Standing Subcommittees serve during the term of the Chairman and may be reappointed. Subcommittee members need not be members of the County Committee, with the exception that the Bylaws and Rules, Credentials, and Tellers Committees shall be composed of members of the County Committee.

The Standing Subcommittees shall be Audit, Budget, Bylaws and Rules, Vetting, Credentials, and Tellers. Additional sub-committees shall be established for the purposes of fund-raising, special events, marketing, technology, recruiting, and voter outreach. All other subcommittees shall be special committees.


Section 3.

The Vice Chairman shall perform the duties of the Chairman in his or her absence and such other duties as assigned by the Chairman.


Section 4.

  1. The Secretary shall keep an account of the proceedings of the County Committee in a permanently maintained book. The Secretary shall provide a seven day advance meeting notice by United States mail or email in writing to each County Committee member. An alternative notice method may be adopted by the County Committee by a two-thirds vote. During the absence of the Secretary, the presiding officer shall appoint on of the members to act as Secretary. Following the election of the officers, the Secretary shall send the Missouri Republican Party a written list of the current names and addresses of all officers of the County Committee. The Secretary shall confirm the email addresses of all county committee members once each two year term.


Section 5.

  1. The Treasurer shall be responsible for all financial accounting and reporting matters of the County Committee. A Deputy Treasurer may also be appointed by the County Committee. A Deputy Treasurer may also be appointed by the County Committee Chairman, according to statute. A Deputy Treasurer shall perform the duties of the Treasurer, should the Treasurer be unavailable or unable.
  2. The Treasurer and Deputy Treasurer shall be authorized signers on the County Committee’s official depository account and shall deposit all receipts and disburse funds through this account as authorized by the County Committee.
  3. The Treasurer shall keep a permanent record of all County Committee receipts and disbursements, which shall be accurate and reasonably up to date.
  4. All County Committee disbursements shall be executed by the Treasurer upon authorization by the County Committee, or the Executive Committee as permitted by these bylaws or by action of the County Committee, and shall be adequately documented.
  5. At each and every meeting of the County Committee the Treasurer shall submit a report of all receipts and disbursements since the preceding report, together with the beginning and ending balance in the County Committee’s official depository account. At the first County Committee meeting of each calendar year this report shall cover the entire preceding calendar year. 
  6. The Treasurer shall file all campaign finance reports as required by statue.
  7. The Treasurer shall make all County Committee financial records available for inspection by any member upon reasonable request. These records shall also be made available to the Standing Audit Committee, with whom the Treasurer shall cooperate during the course of their review as outlined in these bylaws.


Section 6.

The officers may act as an Executive Committee as to emergency matters between County Committee meetings. The Executive Committee may spend no more than One Thousand Dollars ($1,000.00) on emergency matters. The Executive Committee may, by unanimous decision, make special campaign contributions or expenditures to benefit the campaigns of Republican candidates in the General Election from political contributions received by the Committee.


Article III – Meetings


Section 1.

The County Committee shall meet to reorganize every two years or as prescribed by Missouri Law. As the first issue of its organizational meeting, the County Committee will, by a majority vote, determine the voting method to be utilized in that organizational meeting.


Section 2.

The County Committee shall hold eleven (11) regular meetings annually. Meetings shall be held on the fourth (4th) Monday of each calendar months, except for November, in which no meeting shall be held, and December, when the meeting shall be held on the first Monday of the calendar month. Meetings cancelled canceled due to inclement weather need not be rescheduled. Special meetings of the County Committee may be called at any time by the Chairman, by the Vice Chairman acting in the capacity of the Chairman, or by request of one half of the members.


Section 3.

Notice of the exact time and place of regular meetings shall be mailed or emailed to each member of the County Committee by the Secretary, Chairman, Vice Chairman, or members calling the same at least five days before the date of such meeting, unless an alternative notice method has been adopted by the County Committee. One day notice shall be emailed to each member for special meetings. The business to be transacted at any special meeting shall be limited to that stated in such notice of the meeting.


Section 4.

  1. The quorum for the organizational meeting shall be the number of elected members present. No proxy shall be allowed at this meeting.
  2. The quorum of the County Committee shall be a majority of its members. These votes may be represented by County Committee members in person or by duly held proxy. At least one officer must be present. Except as otherwise provided herein, a vote of a majority of the persons present in person or by proxy at a meeting shall constitute action by the County Committee.
  3. Each proxy shall be written, shall be signed by the County Committee member giving the proxy, and shall describe the proceeding for which the proxy is to apply. A proxy must be held by a registered voter of the ward, township, or sub-district of the committee member giving the proxy. No more than two proxies shall be voted by one person.
  4. A member elected by write-in must first submit the $25 fee required in Article I, Section 5, to be recognized as a member. All members must first be signed in and duly seated in person before being allowed to be represented by proxy at future meetings.
  5. Any County Committee member may participate in a meeting of the County Committee or any subcommittee thereof by means of video conference call, telephone conference call, or similar communications equipment (hereinafter, “Conference Call”) by means of which all members participating in the meeting can hear each other. Participation in the meeting by Conference Call, with voice verification shall constitute presence in person at that meeting. No member participating in a meeting by Conference Call may represent another member by proxy at that meeting, except a duly appointed and sworn in auxiliary member.
  6. No member of the media or the public shall record or live stream by audio, video, or both any meeting of the Jackson County Republican Committee, or any sub-committee of the County Committee, except my unanimous decision of the officers.
  7. If permission is granted to any agency or persons for recording or live stream by audio, video or both, notice must be given to every Committee member 3 days before the meeting that permission is granted.
  8. Any member of the Committee may record, live stream by audio, video or both for personal use and or sharing with any other committee member.

The proxy form is in Exhibit A.


Section 5.

The order of business at each meeting may be set by the Chairman, or may follow this outline:

  1. Roll Call;
  2. Minutes of the last meeting;
  3. Report from the Treasurer;
  4. Reading of letters, communications and bills;
  5. Report from subcommittees;
  6. Unfinished business;
  7. New business; and
  8. Adjournment.


Article IV – Removal of Officers


Section 1. Removal of Officers

Any officer of the County Committee may be removed from office. Such removal must be done at a proper meeting of the County Committee provided that (a) notice of such removal be mailed to every member of the County Committee at least two weeks before the meeting; and (b) that two-thirds of the County Committee votes for such removal.


Section 2.

Causes for removal may include the following:

  1. Violating the Laws of the United States or the State of Missouri, or failing to perform the duties of office as set forth by these Bylaws, or properly represent the platform of the Missouri Republican Party.


Section 3.

As the County Committee members are duly elected by their respective districts, they can only be removed from the County Committee as provided by law; notwithstanding, the Jackson County Republican Committee, in exercise of its right to control its internal affairs, to exercise its right of free association, and be the sole judge of the qualifications of its members, may remove a member who has been absent from three

  1. Consecutive meetings without excuse, auxiliary member or proxy if:
  2. Any three duly elected and seated members of the Jackson County Republican Committee move in writing to the County Chairman to remove such member(s). The writing shall state that the complaint is based on the report from the Credentials Committee evidencing the consecutive absences without excuse or proxy. The County Chairman shall within five (5) business days send copies of the complaints to the absent member(s) via U.S. Mail, postage prepaid, requesting return receipt.
  3. After sending the complaint(s) as above, the County Chairman shall set in motion a hearing for removal at the next regular or special meeting of the Jackson County Republican Committee. Upon a two-thirds (2/3) vote of the Jackson County Republican Committee in support of the Complaints of Removal, the committee member(s) will be removed from office.


Section 4. Discipline of Officers and Members

County Committee Officers or Members may be disciplined including removal from office for the following: 

  1. Failing to uphold the principles and priorities of the Republican Party included in the current Missouri Republican Platform


Section 5. Disciplinary Action

  1. Before a member can be subjected to discipline by the committee, three duly elected and seated members of the Jackson County Republican Committee must move, in writing to the County Chairman the cause for which they believe the member shall be disciplined, the factual reasons for such call for disciplinary action and the proposed outcome of the disciplinary action..
  2. Upon receiving a notice requesting disciplinary action against a member, the Chair shall notify the member being subjected to disciplinary action and ensure that a disciplinary committee meeting be scheduled to hear from the members requesting disciplinary action and from the member subjected to a disciplinary request.  Disciplinary Committee meetings and deliberations shall only be attended by the disciplinary committee, the members subjected to discipline and those 3 members who requested the disciplinary action.  These meetings shall be private and confidential among only those participants.
  3. The disciplinary committee shall summarize the facts and provide a recommendation for disciplinary action (if any) at the next Regularly scheduled meeting of the Jackson County Republican Committee.
  4. Disciplinary Actions can include:
  5. Censure of a member
  6. Reprimand of a member
  7. Letters of Reproval for a Members action
  8. Removal of a member from sub-committee’s
  9. Referral for removal from the  Committee
  10. Upon a two-thirds (2/3) vote of the Jackson County Republican Committee in support of the recommendation of the disciplinary committee, the committee member(s) shall be subject to the disciplinary action recommended.


Article V – Amendments


Section 1.

These bylaws may be amended at any meeting of the County Committee by the affirmative vote of two-thirds of the members of the County Committee voting in person or by proxy. All proposals to amend shall be made in writing, filed with the Secretary before the meeting. And included in the notice given fifteen days before such meeting.

Section 2.

Before any amendment takes effect, the Secretary must send a copy to the Missouri Republican Party Headquarters to be filed.


Article VI – Parliamentary Authority


Rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern all proceedings, except as provided in these bylaws.

While the Party Committees are private and closed organizations, they are authorized by State Statute as political bodies for influencing policies and vetting candidates who agree with the particular Party platform that organizes them. 


The changes as I have proposed here (in Bold and Italics are both changes proposed by me and by others.) and submitted to the Subcommittee appointed by Mark Anthony Jones as the Central Chair for review, are based in part on proposed changes presented by others as well as myself. 


These changes if accepted, and presented to the whole Committee to be reviewed discussed and potentially passed by the necessary 2/3rd majority vote, will increase the function and footprint of the Central Committee in every District.


These proposed changes may or may not be the changes as presented to the whole Committee when they are presented by the Sub Committee Chair, Wayne Houts.
